AuxioAI Terms of Use — Software

    1. Agreement

    These Terms of Use govern your access to and use of AuxioAI software, applications, and related cloud services (the “Software”). By using the Software, you agree to these terms and our Privacy Policy.

    2. License

    Subject to your compliance with these terms and your subscription or order, we grant you a limited, non-exclusive, non-transferable right to use the Software for your internal business purposes during the subscription term.

    3. Billing and subscription

    Subscription fees are billed in advance on a recurring basis (monthly or as stated on your order form) and automatically renew at the end of each billing period unless you cancel before renewal. We may change subscription pricing on a going-forward basis; we will give you at least 30 days' advance notice by email or through the Services before a price change takes effect on your next renewal. You may cancel at any time, effective at the end of your current billing period; cancelling stops future billing but does not entitle you to a refund of fees already paid — see our Refund & Cancellation Policy. If a payment fails or is not made when due, we may suspend your access to the Software after reasonable notice, and may terminate your account if the amount owed remains unpaid.

    4. Acceptable use

    You will not misuse the Software, attempt to gain unauthorized access, reverse engineer except as permitted by law, or use the Software in violation of applicable law. You are responsible for activity under your accounts.

    5. Disclaimers

    The Software is provided “as is” to the fullest extent permitted by law. We disclaim implied warranties where allowed. We do not guarantee uninterrupted or error-free operation.

    6. Limitation of liability

    To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Software will be limited as set forth in your order form or, if none, to the fees paid for the Software in the twelve months before the claim. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent allowed.

    7. Governing law and dispute resolution

    These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Except where prohibited by law, disputes arising out of or relating to these terms or the Software will be resolved by binding arbitration administered by the ADR Institute of Ontario, in accordance with its applicable rules. You andAuxioAI agree to arbitrate on an individual basis; class actions and class arbitrations are waived to the extent permitted by law.
